Terms of Service
These Terms of Service ("Terms") govern your access to and use of the websites, checkout, applications, and related services (the "Services") provided by Fleur Pay LLC ("Fleur Pay", "we", "us"). By using the Services you agree to these Terms. If you are using the Services on behalf of a business, you agree on its behalf and confirm you are authorized to do so.
1. Who we are
Fleur Pay is a financial technology company, not a bank or money transmitter. We provide software that lets merchants accept payments and lets customers pay using familiar methods such as Apple Pay, with settlement in USDC or US dollars. All payment processing, currency conversion, custody, and money movement are performed by licensed third-party financial partners ("Partners"). Your use of Partner services is also subject to the Partners' own terms and policies, which you must accept to use those features.
2. Eligibility
- You must be at least 18 years old and able to form a binding contract.
- The Services are available only in supported regions. You may not use the Services if you are located in, or a resident of, a restricted or sanctioned jurisdiction, or if you are on any government sanctions list.
- You must not use a VPN or other means to circumvent geographic restrictions.
3. Accounts and verification
You may need to sign in with an email address or phone number and verify it with a one-time code. Merchants may be required to complete identity and business verification (KYC/KYB) with us or our Partners. You agree to provide accurate information, keep it up to date, and keep your account credentials secure. You are responsible for all activity under your account.
4. Wallets and stablecoins
- Wallets used with the Services are provided by our Partners. Fleur Pay does not hold custody of your funds.
- USDC is a stablecoin issued by a third party. Fleur Pay does not issue, control, or guarantee the value, redeemability, or availability of USDC or any blockchain network.
- Blockchain transactions are generally irreversible. You are responsible for confirming amounts and recipients before submitting a payment.
- Network fees, delays, outages, or forks on underlying blockchains are outside our control.
5. Merchants
Merchants are responsible for the goods and services they sell, their pricing, taxes, refunds, customer support for their products, and compliance with applicable laws. Fees are agreed with each merchant separately and there are no monthly subscription fees unless otherwise agreed in writing. We may withhold, delay, or reverse settlement where required by law, by a Partner, or where we reasonably suspect fraud or a breach of these Terms.
6. Customers
When you pay a merchant through Fleur Pay, your purchase agreement is with the merchant, not with us. Questions about orders, delivery, returns, or refunds should be directed to the merchant. Payments made with a card or Apple Pay are processed by our Partners and may also be subject to your card issuer's terms.
7. Prohibited use
You agree not to use the Services to:
- violate any law, including anti-money-laundering, sanctions, or consumer protection laws;
- engage in fraud, or sell illegal, counterfeit, or restricted goods or services;
- infringe the rights of others;
- interfere with, disrupt, reverse engineer, or gain unauthorized access to the Services; or
- use bots, scrapers, or automated means to access the Services without our permission.
8. Intellectual property
The Services, including our software, branding, and content, are owned by Fleur Pay or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You may not copy, modify, or distribute any part of the Services without our written consent.
9. Suspension and termination
We may suspend or terminate your access at any time if you breach these Terms, if required by law or a Partner, or to protect the Services or other users. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.
10. Disclaimers
The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or secure. We are not responsible for the acts or omissions of Partners, merchants, or blockchain networks.
11. Limitation of liability
To the maximum extent permitted by law, Fleur Pay will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or digital assets. Our total liability for any claim relating to the Services is limited to the greater of the fees you paid us in the 12 months before the claim arose or US $100.
12. Indemnification
You agree to indemnify and hold Fleur Pay harmless from any claims, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party right.
13. Governing law and disputes
These Terms are governed by the laws of the State of [STATE], without regard to conflict of law rules. Any dispute will be resolved exclusively in the state or federal courts located in [COUNTY], [STATE], and you consent to their jurisdiction.
14. Changes
We may update these Terms from time to time. If we make material changes we will update the date above and, where appropriate, notify you. Continued use of the Services after changes take effect means you accept the updated Terms.
